Terms of service

Draft for legal review. These terms govern access to the Ysra website, AI agent, and related products and services (the “Services”). They are a working draft and require review against Ysra’s legal entity, operating jurisdictions, and commercial arrangements.

1. The provider and acceptance

The Services are provided by Ysra (“Ysra,” “we,” or “us”). Contact us at contact@ysra.ai. By creating an account, accessing, or using the Services, you agree to these terms. If you use the Services for an organization, you confirm that you are authorized to bind it; “you” then includes that organization.

2. The Services

Ysra is an AI agent that can help with software development, answer questions using sources you select, and run bounded recurring workflows. Features and integrations may be unavailable, limited, in beta, or changed over time. Any order form or separate written agreement covering a feature or paid plan takes precedence over these terms to the extent of a conflict.

3. Accounts and authority

You must provide accurate account information, protect your sign-in credentials, and promptly tell us about unauthorized access. You are responsible for activity under your account and for managing workspace members and permissions. You must be legally able to enter into these terms.

4. Your content and permissions

You retain your rights in prompts, code, files, data, and other material you submit or connect (“Customer Content”). You grant Ysra and its service providers a limited right to host, access, copy, transmit, and process Customer Content only as reasonably needed to provide, secure, and support the Services and perform the tasks you request.

You represent that you have the rights and authority needed to submit Customer Content, connect each repository or service, and permit the processing and actions you request. Do not provide confidential or personal information unless you are authorized to do so. You are responsible for complying with the terms of third-party services you connect.

5. AI outputs and human review

Ysra uses AI systems. Outputs may be inaccurate, incomplete, out of date, insecure, or unsuitable for your purpose, and similar output may be produced for other users. Outputs are not professional, legal, financial, medical, or security advice. You must review code, answers, generated files, recommendations, and evidence before using them.

Ysra may run checks or show supporting evidence, but this does not guarantee that an output is correct, safe, complete, or fit for production. You remain responsible for decisions, testing, backups, deployment, and compliance with laws and third-party requirements.

6. Integrations and external actions

You choose which repositories, workspaces, and data sources Ysra may access. You are responsible for the scope of permissions you grant. Some actions that affect third-party services may require your approval. You are responsible for reviewing the exact action and its consequences before approving it. Third-party services are governed by their own terms and may change or become unavailable; Ysra is not responsible for their operation.

7. Budgets, fees, and payment

Where the Services display a budget, it limits the work Ysra is authorized to perform under that budget; it is not a guarantee of a particular result. Fees, credits, billing, taxes, and any refund terms are those shown at purchase or agreed in a separate written order. You authorize charges you approve through the applicable purchasing flow. If you do not pay amounts due, Ysra may suspend paid features after reasonable notice, subject to applicable law.

8. Acceptable use

You may not use the Services to break the law; violate another person’s rights; access systems or data without permission; distribute malware; interfere with or probe the Services without authorization; evade usage or security limits; or generate or facilitate harmful activity. You may not use outputs as the sole basis for decisions that produce legal or similarly significant effects about a person without appropriate human review and safeguards.

9. Ownership

Ysra and its licensors retain rights in the Services, software, and branding. As between you and Ysra, you retain rights in Customer Content. To the extent permitted by applicable law, Ysra assigns to you any rights it may have in outputs created specifically for you from your Customer Content. Outputs may not be unique, and this does not transfer rights in third-party material, open-source software, or other content identified in an output.

10. Privacy and security

Our Privacy Policy describes how information is handled. You must not use the Services to submit information you are not authorized to process. We maintain safeguards intended to protect the Services, but no system is completely secure. Notify us promptly at contact@ysra.ai if you believe your account or data has been compromised.

11. Suspension and termination

You may stop using the Services at any time. We may suspend or limit access if reasonably necessary to protect users, the Services, or third parties; comply with law; address a security risk; or respond to a material breach of these terms. Where practicable, we will give notice and an opportunity to address the issue. On termination, your right to use the Services ends. Data handling after termination is described in the Privacy Policy and any applicable order or data-processing agreement.

12. Disclaimers

To the extent permitted by law, the Services are provided “as is” and “as available.” Ysra disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these terms excludes a warranty or right that cannot lawfully be excluded.

13. Liability

To the extent permitted by applicable law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or loss of profits, revenue, data, or goodwill. To the extent permitted by law, each party’s total liability arising from the Services or these terms is limited to the fees paid or payable by you to Ysra for the Services in the 12 months before the event giving rise to the claim. These limits do not apply where the law prohibits limiting liability, including for fraud, willful misconduct, or liability that cannot be limited by contract.

14. Changes to these terms

We may update these terms when the Services or legal requirements change. We will post the updated version here and update its effective date. If a change materially affects your rights, we will provide notice by reasonable means. Continued use after the effective date means you accept the updated terms, except where applicable law requires another form of consent.

15. General

If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision is not a waiver. You may not transfer these terms without our consent, except as part of a transfer of your business where permitted by law. These terms and any applicable written order form are the agreement between you and Ysra about the Services. Mandatory laws and the courts with jurisdiction under those laws continue to apply; this draft does not select a governing law or court.
